One question, every model, side by side
Run the same message across several models and read the answers next to each other. Pick any two to sit side by side, then switch either column to another model that replied.
Three risks stand out in this vendor agreement, ordered by how much exposure they create for you.
- 1.Auto-renewal. The term rolls over for another 12 months unless you cancel inside a 30-day window before it ends (clause 4).
- 2.Liability. Section 8 leaves your liability uncapped, so a single dispute could run past the contract's total value.
- 3.Payment. Net-15 terms with a 2% monthly late fee push most of the cash-flow risk onto you.
If you fix one thing first, negotiate a liability cap, it is the largest source of open-ended risk here.
Here are the three most material risks, each with the reasoning behind it.
- 1.Uncapped liability (section 8) is the biggest exposure, no ceiling on damages, indemnity, or consequential loss.
- 2.No data-processing addendum is attached, which is a gap the moment any personal data is handled under this contract.
- 3.The termination trigger in clause 11 is vague about what counts as "material breach", so an early exit would be hard to enforce.
